Faculty Guide to Non-Disclosure Agreements (NDA)

A Non-Disclosure Agreement (NDA), also known as a Confidential Disclosure Agreement (CDA), is a legal contract that helps protect confidential information—such as unpublished research, proprietary methods, or early-stage inventions—when working with external partners. They are required before sharing sensitive information in collaborations, sponsored projects, licensing discussions, or industry partnerships to safeguard intellectual property and build trust.

An NDA serves to:

  • Protect ideas—Keeps valuable information safe
  • Promote open discussion—Encourages honest sharing without risk
  • Build trust—Shows both sides are serious about confidentiality
  • Provide legal protection—Sets rules and consequences if the agreement is broken
